Although the colours had been adopted in 1905, the usage of a striped flag with arms is probably of more recent origin, as in most cases, the earlier variant was without the arms.

Shield Or with base wavy Argent divided i8nto six waves, issuant from base a lion Azure tongued Gules.
Meaning:
The market town was established in the 13th century besides Oberlutter village. The town gained city rights between 1400 and 1409. From the oldest seal existed prints since 1470. It already displayed the lion issuant from the Welfen kin as Dukes of Braunschweig-Lüneburg. The base is symbolising Lutter Creek, name giver of the city. In seals from the 17th and 18th century the lion was displayed passant over a base wavy. In the 19th century the lion was displayed red on a silver background.
The first pattern of the arms was restored in 1905, when also a tricolour was granted by the regent of Braunschweig.

Shield Or a weather vane sable, in base a bar wavy Azure.

The bar wavy is representing Schunter River. Ochsendorf was a church center of the region up to the reformation as a seat of archidiakonat. The parish church, dedicated to Saint Stephen, was founded by Bishop Hildegrim of Halberstadt in the beginning of the 9th century. It belonged to the early churches of the Bishopric of Halberstadt, from which the conversion started out. Therefore the weather vane with a cross suits the church, at which the stoning of the saint is displayed in the Ochsendorf coat of arms.
