It is a typical Portuguese communal flag, with the coat of arms centred on a plain yellow field.

The shield of the arms is Gules three heraldic fountains set in fess,in chief a knife Argent and a palm frond Or set per saltire, in base a wicker basket Or. Mural crown Argent with three visible towers (village rank) and white scroll reading in black upper case letters "VALE DAS FONTES - VINHAIS". (in traditional scroll (see left image above) or Bénard-Guedes scroll (see right image above) ).Note also the (hyper) correct rendering of the fountains as barrulets Azure wavy on a roundel Argent (see right image above), instead of barrulets Argent wavy on a roundel Azure (see left image above), to avoid breaking the rule of tinctures due to the ground Gules.
Meaning:
"Vale das fontes" means litterally "valley of the springs/fountains" and the arms are partly canting. This village seems to be the only one of its name in Portugal; the reason to add the name of the municipality on the scroll eludes me.
